This Terms of Service Agreement (“Terms”) is a legal agreement between you (“you” or “User”) and Yura Zatsepin, an individual entrepreneur registered in the Russian Federation (“Author”, “we”, “us”), governing your use of Lubo — a desktop application for file and screenshot search, indexing and annotation (“Lubo” or the “App”).
By downloading, installing, activating or otherwise using Lubo, you agree to be bound by these Terms. If you do not agree to be bound by these Terms, do not install or use Lubo. To the extent mandatory consumer-protection law of your country of residence provides otherwise, the provisions of such law prevail over these Terms.
1. The License
Upon your acceptance of these Terms, the Author grants you a personal, non-exclusive, non-transferable, non-sublicensable, limited license to install and use Lubo on devices that you own or control, in accordance with these Terms and the App’s intended functionality. The App may be used for free during the trial period and afterwards in accordance with the license key you have purchased and activated.
2. Trial Period
Lubo is free to try. Unless you activate a purchased license key, you may use Lubo for a limited trial period of thirty (30) days starting from the first launch of the App on a given device. When the trial expires, you must activate a license key to continue using the App. The Author may change the trial terms at any time with effect for devices on which the trial has not yet started.
3. Purchase, License Keys and Activation
A license key grants the right to use Lubo in accordance with the parameters stated for that product (device limit, update period, perpetual or subscription duration) at the time of purchase. Unless stated otherwise for a product, one license key allows activation on up to three (3) personal devices owned or controlled by you.
The Lifetime (individual) license permits commercial use by a private individual in their own work — including freelance and creative projects. It does not cover use by or on behalf of an organization; organizations and employed use require the commercial license, issued per workstation.
To complete a purchase, the checkout form asks for your email address, first and last name, phone number and, optionally, your company name. This data is used solely to process the order, deliver the license key, issue a payment receipt and provide support, as described in our Privacy Policy.
To activate a license key, the App must contact our server once to:
- verify that the license key is valid and not revoked;
- register the device and check the activation limit of the license;
- receive a time-limited, digitally signed token that lets the app verify the license offline.
The signed token is valid for 30 days. To keep the token fresh, the App periodically (roughly every 24 hours) contacts our server to refresh the token expiry. The App also contacts the server when you release a device slot (“deactivate”). An internet connection is required for activation and periodic re-validation; after that, the App works offline until the token expires.
You may not sell, rent, lease, sublicense or transfer a license key, and you may not circumvent, disable or interfere with the App’s license-verification mechanisms. License keys obtained through unauthorized channels may be refused, blocked or revoked.
4. Refund Policy
If you are not satisfied with Lubo after purchasing a license, you may request a refund within fourteen (14) days of purchase, provided the license key has not been activated on any device. We will process the refund as soon as possible, but no later than thirty (30) days after the refund request is received.
This policy applies to purchases made directly from us or through our payment provider. If you purchased a license via a third-party platform, the refund policy of that platform applies instead.
5. Updates and Support
From time to time, the Author may release updates for Lubo. The App checks for update availability by requesting a small version manifest from our server on launch and periodically; the update itself is downloaded and installed only with your confirmation, and new version availability depends on your platform. The Author has no obligation to provide maintenance, support or updates of any kind, unless specifically stated for the purchased product.
6. Acceptable Use
You agree not to use Lubo to:
- upload, store or process content that is illegal, obscene, defamatory or infringes the rights of third parties;
- violate applicable laws of your country of residence;
- reverse engineer, decompile or disassemble the App, except to the extent expressly permitted by applicable law;
- copy, modify, redistribute, rent or create derivative works of the App or any part of it, except as expressly authorized in writing.
7. Intellectual Property Rights
All intellectual property rights in Lubo, including but not limited to the software, its source code, design, trademarks and trade secrets, are owned by the Author. You acknowledge and agree that you have no rights or interests in Lubo except as expressly granted in these Terms. All rights not expressly granted herein are reserved.
The Author works with small open-source models (for semantic search and OCR) that run locally; such models are subject to their respective open-source licenses, and the App does not transmit any of their inputs or outputs to our servers.
8. Privacy
Lubo performs indexing, semantic search, color analysis and text recognition (OCR) entirely on your device. Your files, screenshots and the text they contain never leave your computer. The App does not collect your email, name, payment data or file contents. The limited data that Lubo does exchange with our servers (installation count, license validation) is described in our Privacy Policy.
9. Disclaimer of Warranties
Lubo is provided “AS IS” and “AS AVAILABLE”, without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement. The Author makes no representations or warranties that the App will meet your requirements, operate without interruption, or be free of errors, bugs or defects.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall the Author be liable for any damages, including but not limited to direct, indirect, incidental, special, consequential or punitive damages, or loss of data, profits or goodwill, arising out of or in connection with the use of, or the inability to use, Lubo, even if the Author has been advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
11. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless the Author from and against any and all claims, liabilities, damages, losses and expenses arising out of or in connection with your use of Lubo and your violation of these Terms.
12. Termination
These Terms apply from the moment you begin using Lubo and remain in force until terminated. The Author may terminate these Terms and revoke your license with immediate effect if you materially breach these Terms, including abuse of the license-verification mechanisms, resale of license keys or prohibited use of the App. You may terminate these Terms at any time by uninstalling Lubo and destroying all copies in your possession. Sections that by their nature should survive termination shall survive.
13. Changes to These Terms
The Author may update these Terms from time to time. The current version is always published at /lubo/terms with the date of the last update. Continued use of Lubo after changes are published constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
14. Governing Law
These Terms are governed by the laws of the Russian Federation, except insofar as mandatory consumer-protection rules of your country of residence apply. Disputes shall first be submitted to the Author for amicable resolution; if no agreement is reached within thirty (30) days, the dispute shall be resolved in the courts at the Author’s place of registration, subject to applicable mandatory law.
15. Miscellaneous
These Terms constitute the entire agreement between you and the Author regarding Lubo and supersede all prior agreements and communications. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted and the remaining provisions shall remain in full force.
